1. These terms

These terms apply to your use of the services provided by Billow Labs, Inc. ("Billow", "we", "us"). By using the services, you agree to these terms. If you use them for an organization, you agree on its behalf and confirm that you have authority to do so.

If your organization has a signed agreement with Billow, that agreement applies instead of these terms where they conflict.

2. The service

Billow provides finance and accounting software, including our dashboard, agents, Excel add-in and Billow Agent for Microsoft Teams (together, the "service").

Billow Agent for Microsoft Teams is a bot that runs your organization's Billow workflows from Teams group chats it is added to. It needs a Billow account, and a Billow admin connects each chat. Our privacy policy explains what it accesses and how that information is handled.

We may change or improve the service over time. We won't reduce the features of a paid plan during its current subscription term.

3. Accounts

You must give accurate account information and keep your sign-in details secure. You are responsible for activity under your account. Your organization's admins decide who can use its workspace and which systems and chats are connected to it.

Tell us promptly at support@thebillow.ai if you believe your account has been used without permission.

4. Your data

Your organization keeps all rights in the information it puts into or connects to the service, including files, messages and accounting records ("customer data"). You give Billow permission to process customer data only as needed to provide, secure and support the service, and as described in our privacy policy.

You confirm that you have the rights and permissions needed to share customer data with Billow, including messages and files posted in Teams chats where Billow Agent is added.

5. Acceptable use

You must not:

  • use the service in breach of law or of anyone else's rights;
  • try to get unauthorized access to the service, other accounts or connected systems;
  • disrupt, overload or test the vulnerability of the service without our written permission;
  • upload malware or content you are not allowed to share;
  • copy, resell or reverse engineer the service, except where the law allows it.

6. AI output and review

The service uses AI to read files, interpret instructions and run workflows. AI output can be incomplete or wrong. Review results before you rely on them. The service supports your finance and accounting work; it does not replace professional accounting, tax or legal advice.

To report inaccurate, inappropriate or harmful output, email support@thebillow.ai.

7. Third-party services

The service works with products from other providers, such as Microsoft Teams, Microsoft Excel and accounting systems your organization connects. Your use of those products is governed by your agreements with their providers. We are not responsible for third-party products or for changes to them that affect the service.

8. Fees

Fees and payment terms for paid plans are set out in your order form or agreement with Billow. Without an order form, invoices are due within 30 days and fees exclude taxes, which you pay.

9. Intellectual property

Billow and its licensors keep all rights in the service, including its software, designs and documentation. These terms do not transfer those rights to you. If you send us feedback, we may use it without obligation to you.

10. Suspension and termination

You can stop using the service at any time. To stop Billow Agent in a Teams chat, remove it from that chat. To close your organization's account, contact support@thebillow.ai.

We may suspend or end access if you breach these terms, if your use creates a security or legal risk, or if required by law. Where reasonable, we will tell you first. Either party may end the service without cause with 30 days' written notice.

After termination, customer data is handled as described in our privacy policy. You may export your data for 30 days after termination.

11. Disclaimers

Except as stated in these terms or a signed agreement, the service is provided "as is" and "as available". To the extent the law allows, Billow disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the service will be uninterrupted or error-free.

12. Limitation of liability

To the extent the law allows, Billow is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data.

Billow's total liability arising from these terms or the service is limited to the fees you paid Billow in the 12 months before the claim.

Each party will defend the other against third-party claims arising from its own breach of these terms or violation of law, and pay the resulting damages and costs finally awarded.

13. Governing law

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Disputes will be resolved in the courts of Santa Clara County, California.

14. Changes

We may update these terms. We will show the revised date on this page and give notice of material changes. For material changes we give at least 30 days' notice. Continuing to use the service after changes take effect means you accept them.
